By accessing or using our Services, or contacting us to inquire about our Services, you confirm that you  can form a binding contract with Company, that you accept these Terms of Use, and that you agree to  comply with them. Your access to and use of our Services is also subject to our Privacy Policy, the terms of which can be found directly on the Website, or where the App is  made available for download, on your mobile device’s applicable app store, and are incorporated herein  by reference. For clarity, by using the Services, or contacting us to inquire about our Services, you  consent to the terms of the Privacy Policy.

If you are accessing or using the Services on behalf of a business or entity, then (a) “you” and “your”  includes you and that business or entity, (b) you represent and warrant that you are an authorized  representative of the business or entity with the authority to bind such business or entity to these Terms of  Use and that you agree to these Terms of Use on behalf of such business or entity, and (c) your business  or entity is legally and financially responsible for your access or use of the Services as well as for the  access or use of your account by others affiliated with your business or entity, including any employees,  agents or contractors.

You accept these Terms of Use by accessing or using our Services or contacting us to inquire about our  Services. You understand and agree that we will treat your access to or use of the Services or your inquiry  about our Services, as applicable, as acceptance of the Terms of Use from that point onwards.

You should print off or save a local copy of these Terms of Use for your records.

IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY  PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE  IMMEDIATELY.

In addition, we may ask that you agree to other terms and conditions depending on your use of the  Services. All of such other terms and conditions become part of these Terms of Use and your agreement  to these Terms of Use.

2. ELIGIBILITY OF USE

To use the Services you must be at least 18 years old and of legal age in your jurisdiction to form a  binding contract. If you are not, you must stop using the Services.

We may, in our sole discretion, refuse to offer all or any part of the Services to any person or entity and/or  change our eligibility criteria at any time. This provision is void where prohibited by law and the right to  access the Services is revoked in those jurisdictions.

The information provided on the Services is not intended for distribution to or use by any person or entity  in any jurisdiction or country where such distribution or use would be contrary to law or regulation or  which would subject us to any registration requirement within such jurisdiction or country. Accordingly,  those persons who choose to access the Services from other locations do so on their own initiative and are  solely responsible for compliance with local laws, if and to the extent local laws are applicable.

Unless specified, the Services are not tailored to comply with certain industry-specific regulations (e.g.,  Health Insurance Portability and Accountability Act [HIPAA], Federal Information Security Management  Act [FISMA], etc.), so if your interactions would be subjected to such laws, you may not use the Services.  You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

3. REGISTRATION

You may browse the Services without registering, but as a condition of using certain aspects of the  Services, including, but not limited to the ability to make certain investments, you may be required to  register with Company and select a screen name (“User ID”) and password. Company reserves the right in its sole discretion to refuse registration of or cancel a User ID.

You are solely responsible for activity that occurs on your account and shall be responsible for  maintaining the confidentiality of your password for the Services. We will treat anyone who uses your  User ID and password as "you" for all purposes, and we will hold you responsible for the activities of the  person using your password. You will never allow any other person to use your account, nor will you use  the account of any other user of the Services. You will immediately notify Company in writing, using the  contact details provided in the section entitled “CONTACT US” below, of any unauthorized use of your  account, or any other known account-related security breach.

While some of the Services relate to legal, tax, investment or accounting matters, neither we nor any of  the professionals providing such content are providing professional advice to you, and you acknowledge  that there is no professional relationship (including without limitation any attorney-client relationship)  between you and any of the same, unless you and such party specifically agree otherwise.

The information and services provided on the Services are not provided to, and may not be used by, any  person or entity in any jurisdiction where the provision or use thereof would be contrary to applicable  laws, rules or regulations of any governmental authority or where Company is not authorized to provide  such information or services. Some products and services described in the Services may not be available  in all jurisdictions or to all users.

You agree that Company may display, showcase, or present advertisements from third parties in  connection with your use of the Services.

You agree that we have the right to perform all technical functions necessary to offer the Services,  including, but not limited to, processing and transmitting email communications to and from you, and  transcoding and/or reformatting your “Contributions” and “Submissions” (each as defined below). As a condition of your access to and use of the Services, you are prohibited from taking any action that  would violate the content and conduct standards set forth below. In addition, and not in limitation of the  prohibited actions set forth below, you agree that you will not (a) employ any device, scheme, or artifice  to defraud or (b) engage in any act, practice, or course of business which operates or would operate as a  fraud or deceit upon any person.

We use various techniques to verify the accuracy of the information provided by users. However, in view  of the limitations in verification on the Internet, we cannot confirm the identity of users. We encourage  you to use the various tools and content available on the Services, as well as elsewhere, to evaluate the  users with whom you are dealing.

You acknowledge that there are risks of dealing with other users acting under false pretenses, and you  assume the risks of liability or harm of any kind in connection with transactions of any kind relating to  goods and/or services that are the subject of transactions using the Services. Such risks shall include, but  are not limited to, misrepresentation of information about any user, breach of warranty, breach of  contract, and violation of third-party rights and consequent claims. You agree that Company shall not be  liable or responsible for any damages, liabilities, costs, harms, inconveniences, business disruptions or  expenditures of any kind that may arise as a result of or in connection with any transactions with others  using the Services.

5. FEES, PRICING, AND PAYMENT

We reserve the right to charge fees for use of all or any part of the Services and we may change the fees  that we charge from time to time. Before you pay any fees, you will have an opportunity to review and  accept the fees that you will be charged. All fees are in U.S. dollars and are non-refundable. You agree  that, in addition to all other amounts payable under these Terms of Use or any supplemental or additional  terms to which we and you agree, you are responsible for paying all sales, use, value added or other taxes  – federal, state or otherwise – however designated, that are levied or imposed by reason of your use of the  Services. We will charge the payment method you specify at the time of purchase. You authorize Company to charge to that payment method all sums as described on the Website, App, or otherwise by  Company for those Services you elect to purchase.

If you decide to leave the Services and access any Third-Party Websites or to  use or install any Third-Party Content, you do so at your own risk, and you should be aware these Terms  of Use no longer govern. You should review the applicable terms and policies, including privacy and data  gathering practices, of any website to which you navigate from the Services or relating to any applications  you use or install from the Services. Any purchases you make through Third-Party Websites will be from  other companies, and we take no responsibility whatsoever in relation to such purchases which are  exclusively between you and the applicable third parties. 16. ADVERTISERS

Company may allow advertisers to display their advertisements and other information in certain areas of  the Services, such as sidebar advertisements or banner advertisements. If you are an advertiser, you shall  take full responsibility for any advertisements you place on the Services and any services provided or  products sold through those advertisements. Further, as an advertiser, you warrant and represent that you  possess all rights and authority to place advertisements on the Services, including, but not limited to,  intellectual property rights, publicity rights, and contractual rights. As an advertiser, you agree that such  advertisements are subject to our Digital Millennium Copyright Act (“DMCA”) Notice and Policy  provisions as described below, and you understand and agree there will be no refund or other  compensation for DMCA takedown-related issues. We simply provide the space to place such  advertisements, and we have no other relationship with advertisers.

17. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to: (a) monitor the Services for violations of these Terms of  Use; (b) take appropriate legal action against anyone who, in our sole discretion, violates the law or these  Terms of Use, including without limitation, reporting such user to law enforcement authorities; (c) in our  sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the  extent technologically feasible) any of your Contributions or any portion thereof; (d) in our sole discretion  and without limitation, notice, or liability, to remove from the Services or otherwise disable all files and  content that are excessive in size or are in any way burdensome to our systems; and (e) otherwise manage

the Services in a manner designed to protect our rights and property and to facilitate the proper  functioning of the Services.

18. PRIVACY POLICY

As noted, we care about data privacy and security. Please review our Privacy Policy. By using the  Services, or contacting us to inquire about our Services, you agree to be bound by our Privacy Policy,  which is incorporated into these Terms of Use. If you do not fully understand and agree to the Privacy  Policy, cease using the Services. You hereby consent to have your viewed videos’ ratings, impressions  (verbal and non-verbal), commentary, and messaging be utilized as part of Company’s data analytics for  purposes of identifying and analyzing the impressions of certain content and in order to help Company assess the influence and demand of such content on the Services, subject to your rights under the Privacy  Policy. Please be advised the Services are hosted in the United States. If you access the Services from any  other region of the world with laws or other requirements governing personal data collection, use, or  disclosure that differ from applicable laws in the United States, then through your continued use of the  Services, you are transferring your data to the United States, and you agree to have your data transferred  to and processed in the United States. Further, we do not knowingly accept, request, or solicit information  from children or knowingly market to children. Therefore, if we receive actual knowledge that anyone  under the age of 18 has provided personal information to us, we will take steps to delete that information  from the Services as quickly as is reasonably practical.

19. DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA) NOTICE AND POLICY (a) Notifications

We respect the intellectual property rights of others. If you believe that any material available on or  through the Services infringes upon any copyright you own or control, please immediately notify our  Designated Copyright Agent using the contact information provided below (a “Notification”). A copy  of your Notification will be sent to the person who posted or stored the material addressed in the  Notification. Please be advised that pursuant to federal law you may be held liable for damages if you  make material misrepresentations in a Notification. Thus, if you are not sure that material located on  or linked to by the Services infringes your copyright, you should consider first contacting an attorney.

All Notifications should meet the requirements of DMCA 17 U.S.C. § 512(c)(3) and include the  following information: (1) a physical or electronic signature of a person authorized to act on behalf of  the owner of an exclusive right that is allegedly infringed; (2) identification of the copyrighted work  claimed to have been infringed, or, if multiple copyrighted works at a single online site owned and  operated by Company are covered by the Notification, a representative list of such works at that site;  (3) identification of the material that is claimed to be infringing or to be the subject of infringing  activity and that is to be removed or access to which is to be disabled, and information reasonably  sufficient to permit us to locate the material; (4) information reasonably sufficient to permit us to  contact the complaining party, such as an address, telephone number, and, if available, an email  address at which the complaining party may be contacted; (5) a statement that the complaining party  has a good faith belief that use of the material in the manner complained of is not authorized by the  copyright owner, its agent, or the law; and (6) a statement that the information in the Notification is  accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the  owner of an exclusive right that is allegedly infringed.

(b) Counter Notification

If you believe your own copyrighted material has been removed from the Services as a result of a  mistake or misidentification, you may submit a written counter notification to our Designated  Copyright Agent using the contact information provided below (a “Counter Notification”). To be an  effective Counter Notification under the DMCA, your Counter Notification must include substantially  the following: (1) identification of the material that has been removed or disabled and the location at  which the material appeared before it was removed or disabled; (2) a statement that you consent to the  jurisdiction of the Federal District Court for the judicial district in which your address is located, or if  your address is outside the United States, for any judicial district in which we are located; (3) a  statement that you will accept service of process from the party that submitted the Notification or the  party's agent; (4) your name, address, and telephone number; (5) a statement under penalty of perjury  that you have a good faith belief that the material in question was removed or disabled as a result of a  mistake or misidentification of the material to be removed or disabled; and (6) your physical or  electronic signature.

If you send us a valid, written Counter Notification meeting the requirements described above, we will  restore your removed or disabled material, unless we first receive notice from the party filing the  Notification informing us that such party has filed a court action to restrain you from engaging in  infringing activity related to the material in question. Please note that if you materially misrepresent  that the disabled or removed content was removed by mistake or misidentification, you may be liable  for damages, including costs and attorney's fees. Filing a false Counter Notification constitutes  perjury.

20. TERM AND TERMINATION

These Terms of Use shall remain in full force and effect while you use the Services. WITHOUT  LIMITING ANY OTHER PROVISION OF THESE TERMS OF USE, WE RESERVE THE RIGHT TO,  IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND  USE OF THE SERVICES (INCLUDING WITHOUT LIMITATION BLOCKING CERTAIN IP  ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING  WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR  COVENANT CONTAINED IN THESE TERMS OF USE OR OF ANY APPLICABLE LAW OR  REGULATION. WE MAY TERMINATE YOUR USE OF OR PARTICIPATION IN THE SERVICES  OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED  AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a  new account under your name, a fake or borrowed name, or the name of any third party, even if you may  be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve  the right to take appropriate legal action, including without limitation pursuing civil, criminal, and  injunctive redress.

21. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time or for any  reason at our sole discretion without notice. However, we have no obligation to update any information  on our Services, except as otherwise agreed by us in writing. We also reserve the right to modify or  discontinue all or part of the Services without notice at any time. We will not be liable to you or any third  party for any modification, price change, suspension, or discontinuance of the Services.

We cannot guarantee the Services will be available at all times. We may experience hardware, software,  or other problems or need to perform maintenance related to the Services, resulting in interruptions,  delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise  modify the Services at any time or for any reason without notice to you. You agree that we have no  liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the  Services during any downtime or discontinuance of the Services. Nothing in these Terms of Use will be  construed to obligate us to maintain and support the Services or to supply any corrections, updates, or  releases in connection therewith, except as otherwise expressly set forth herein.

22. GOVERNING LAW

These Terms of Use and your use of the Services are governed by and construed in accordance with the  laws of the State of Delaware applicable to agreements made and to be entirely performed within the State  of Delaware, without regard to its conflict of law principles.

23. DISPUTE RESOLUTION

(a) Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim relating to or arising  from these Terms of Use, including, without limitation, any dispute regarding your use of the Services  or any dispute you may have with our employees or agents (each a "Dispute" and collectively, the  “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the  Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided  below) informally for at least one hundred eighty (180) days before initiating arbitration. Such  informal negotiations commence upon written notice from one Party to the other Party.

(b) Binding Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those  Disputes expressly excluded below) will be finally and exclusively resolved through binding  arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE  THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be  commenced and conducted under the Commercial Arbitration Rules of the American Arbitration  Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer  Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website:  www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by  the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs  are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses. The  arbitration may be conducted in person, through the submission of documents, by phone, or online.  The arbitrator will make a decision in writing, but need not provide a statement of reasons unless  requested by either Party. The arbitrator must follow applicable law, and any award may be

challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA  rules or applicable law, the arbitration will take place in Nassau County, New York. Except as  otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings  pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the  arbitrator.

If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced  or prosecuted in the state and federal courts located in Nassau County, New York, and the Parties  hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens  with respect to venue and jurisdiction in such state and federal courts. Application of the United  Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer  Information Transaction Act (UCITA) is excluded from these Terms of Use.

In no event shall any Dispute brought by either Party be commenced more than one (1) year after the  cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will  elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or  unenforceable, and such Dispute shall be decided by a court of competent jurisdiction within the  courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that  court.

(c) Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually.  To the full extent permitted by law, (1) no arbitration shall be joined with any other proceeding; (2)  there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class  action procedures; and (3) there is no right or authority for any Dispute to be brought in a purported  representative capacity on behalf of the general public or any other persons.

(d) Exceptions to Informal Negotiations and Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning  informal negotiations and binding arbitration: (1) any Disputes seeking to enforce or protect, or  concerning the validity of, any of the intellectual property rights of a Party; (2) any Dispute related to,  or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (3) any  claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party  will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or  unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts  listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

24. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions,  including descriptions, pricing, availability, and various other information. We reserve the right to correct  any errors, inaccuracies, or omissions and to change or update the information on the Services at any time,  without prior notice.

AS WITH THE PURCHASE OF A  PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU  SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

26. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU  OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY,  INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM  YOUR USE OF THE SERVICES, EVEN IF ANY PARTY HAS BEEN ADVISED OF THE  POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY  CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND  REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO  $1,000.00 USD. CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW  LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF  CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE  DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE  ADDITIONAL RIGHTS.

and expenses), judgment, or penalty, due to or arising out of: (a) your Contributions; (b) use of the  Services; (c) breach of these Terms of Use; (d) any breach of your representations and warranties set forth  in these Terms of Use; (e) your violation of the rights of a third party, including but not limited to  intellectual property rights; or (f) any overt harmful act toward any other user of the Services with whom  you connected via the Services. Notwithstanding the foregoing, we reserve the right, at your expense, to  assume the exclusive defense and control of any matter for which you are required to indemnify us, and  you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts  to notify you of any such claim, action, or proceeding which is subject to this indemnification upon  becoming aware of it.

28. USER DATA

We will maintain certain data that you transmit to the Services for the purpose of managing the  performance of the Services, as well as data relating to your use of the Services. Although we perform  regular routine backups of data, you are solely responsible for all data that you transmit or that relates to  any activity you have undertaken using the Services. You agree that we shall have no liability to you for  any loss or corruption of any such data, and you hereby waive any right of action against us arising from  any such loss or corruption of such data.

29. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending emails, and completing online forms constitute electronic communications.  You consent to receive electronic communications, and you agree that all agreements, notices,  disclosures, and other communications we provide to you electronically, via email and on the Services,  satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE  USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND  TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS  INITIATED OR COMPLETED BY US OR VIA THE SERVICES. You hereby waive any rights or  requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which  require an original signature or delivery or retention of non-electronic records, or to payments or the  granting of credits by any means other than electronic means.

31. MISCELLANEOUS

These Terms of Use, together with any policies or operating rules posted by us on the Services or in  respect to the Services, and any other applicable contracts or click-through agreements you may enter into  with us in connection with the Services, constitute the entire agreement and understanding between you  and us with respect to the Services, and there are no other agreements or understandings concerning your  use of the Services. These Terms of Use supersede all prior or contemporaneous communications and  proposals (whether oral, written or electronic) between you and Company with respect to the Services. Our failure to exercise or enforce any right or provision of these Terms of Use shall not operate as a  waiver of such right or provision. These Terms of Use operate to the fullest extent permissible by law. We

may assign or delegate any or all of our rights and obligations to others at any time. We shall not be  responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our  reasonable control. If any provision or part of a provision of these Terms of Use is determined to be  unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these  Terms of Use and does not affect the validity and enforceability of any remaining provisions. There is no  joint venture, partnership, employment or agency relationship created between you and us as a result of  these Terms of Use or use of the Services. You agree that these Terms of Use will not be construed  against us by virtue of having drafted them. You hereby waive any and all defenses you may have based  on the electronic form of these Terms of Use and the lack of signing by the parties hereto to execute these  Terms of Use. If these Terms of Use are translated into any other languages, in whole or in part, then, in  the event of any conflict, the English language version of the Terms of Use shall control.

By uploading, submitting, or providing content to the Services you are giving consent for Company to  have digital rights, distribution rights, and ownership of such videos and audio, as well as the ability to  produce, syndicate, or source such content to third parties. Further, Company retains the right to  syndicate, source, and/or broker such content, and future rights of such content’s ideas, concepts, or  themes to third parties. You acknowledge that not all video submissions, or videos you rate, will lead to  professional content production. Rather, Company’s analytics, internal assessment, and third-party  interest will be the primary influence on which content, characters, or concepts will obtain professional  content production opportunities, syndication, sourcing, and/or representation.
